Our Client Our client is a private-equity backed healthcare-focused, highly acquisitive Canadian organization. Operating in a fast-paced and entrepreneurial environment, the organization is seeking a commercially minded General Counsel to take ownership of an established Legal and Risk function. The culture is hardworking, pragmatic, collaborative and low-ego, with high expectations for performance and accountability. The position is based in Toronto, with four days per week in office (Monday–Thursday) and Fridays remote. Responsibilities Lead and develop the organization's Legal and Risk function; Serve as a trusted legal and strategic advisor to senior leadership; Lead legal aspects of M&A and corporate development, including acquisitions, integrations and reorganizations; Advise on complex corporate, commercial and governance matters; Oversee healthcare regulatory and compliance matters; Provide strategic oversight of significant litigation, disputes and enterprise legal risk; Manage external counsel; and Remain hands-on with sophisticated, high-impact legal matters. Requirements Approximately 8-16 years of post-call experience and membership in good standing with the Law Society of Ontario; Strong foundational corporate and M&A experience, ideally gained at a leading Canadian law firm; Senior in-house leadership experience, ideally as a GC at a smaller or mid-sized organization, or VP, AGC or Head of Legal within a larger organization; Exceptional legal and commercial judgment with a pragmatic, business-oriented approach; Demonstrated experience leading and developing legal professionals; Ability to thrive in a fast-paced, entrepreneurial and high-performance environment; Healthcare, regulated-industry and/or highly acquisitive company experience is an asset; and French/English bilingualism is an asset. Exceptional candidates currently practising at a leading Canadian law firm may also be considered. Ref #LI1776

Exigences
Candidates need 8-16 years of post-call experience with membership in the Law Society of Ontario and a strong background in corporate and M&A law. Prior senior in-house leadership experience and familiarity with the healthcare industry are highly preferred.
