Sommaire du poste BLP avocats est à la recherche d’un(e) avocat(e) motivé(e) avec deux (2) à cinq (5) ans d'expérience pertinente pour rejoindre notre cabinet, avec une pratique axée sur le droit corporatif. Le ou la candidat(e) retenu(e) travaillera en étroite collaboration avec les associés pour soutenir un large éventail de transactions financières, tout en contribuant au travail transactionnel de l'entreprise. Principales responsabilités Vous serez chargé(e) d'aider à structurer, négocier et rédiger des accords de prêt et de financement ; Agir au nom du prêteur et de l'emprunteur dans une variété de transactions ; Effectuer des vérifications juridiques préalables et préparer les documents à l'appui des transactions ; Fournir des conseils sur la conformité réglementaire et la gestion des risques dans les transactions financières ; Aider dans les transactions d'entreprise, y compris les fusions et acquisitions, les réorganisations d'entreprise et les questions d'actionnariat ; Rédiger, examiner et réviser des accords commerciaux tels que des contrats de service, des accords de confidentialité, des accords de distribution et des accords de partenariat. Qualifications 2 à 5 ans d'expérience en droit bancaire et financier ou en droit des sociétés et droit commercial ; Solides compétences en matière de rédaction et de négociation ; Capacité à gérer plusieurs dossiers et à respecter les délais dans un environnement en constante évolution ; Excellentes compétences en matière de résolution de problèmes, de sens des affaires, d'analyse et d'organisation ; Autonomie et ingéniosité ; Excellentes compétences interpersonnelles et de communication ; Excellentes compétences rédactionnelles en anglais et en français ; Être proactif et créatif . Key Responsibilities Assist in structuring, negotiating, and drafting loan and finance agreements; Act on behalf of lender and borrowers in a variety of transactions; Conduct legal due diligence and prepare supporting documentation for transactions; Provide advice on regulatory compliance and risk management in financial transactions; Assist in corporate transactions, including mergers and acquisitions, corporate reorganizations, and shareholder matters; Draft and review commercial agreements such as service agreements, NDAs, distribution agreements, and partnership arrangements. Qualifications • 2–5 years of experience in banking and corporate law; • Strong drafting and negotiation skills; • Ability to manage multiple files and meet deadlines in a fast-paced environment; • Excellent problem solving, business acumen, analytical and organizational skills; • Self-driven and resourceful; • Excellent interpersonal and communication skills; • Excellent writing skills in English and French. • Proactive, creative and quick learner. Applicants need 2–5 years of experience in banking and finance law or corporate and commercial law, strong drafting and negotiation abilities, and the capacity to manage multiple files and deadlines. They must be a member in good standing of the Quebec Bar and have excellent English and French writing skills, along with strong analytical, organizational, interpersonal, and communication skills.
